Welcome to DisharyTech.com (the "Site"), operated by The IT Partz LLC, doing business as DisharyTech.com ("DisharyTech," "Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Site and the purchase of any products through the Site. By accessing or using the Site, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Eligibility

By using the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are using the Site on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Products and Descriptions

We are a wholesaler and retailer of storage devices, networking equipment, and computer parts, including but not limited to solid state drives, hard drives, memory, processors, motherboards, controllers, networking devices, and related components.

We attempt to describe and display products, including part numbers, specifications, and condition (e.g., new, refurbished, or open box), as accurately as possible. However, we do not warrant that product descriptions, images, pricing, or other content on the Site are accurate, complete, current, or error-free. In the event of an error, we reserve the right to correct it and to cancel or modify any affected orders, even after an order has been submitted or confirmed.

3. Pricing

All prices listed on the Site are in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to modify or discontinue pricing for any product at any time. In the event a product is listed at an incorrect price due to a typographical, technical, or pricing error, we reserve the right to refuse or cancel any orders placed for that product, whether or not the order has been confirmed.

4. Payment Terms

All orders must be prepaid in full at the time of purchase. We do not extend credit or offer net payment terms unless a separate written agreement has been executed between DisharyTech and the buyer.

By submitting payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us (or our third-party payment processor) to charge the full order amount, including applicable taxes and shipping fees, to that payment method.

We reserve the right to refuse, delay, or cancel any order at our sole discretion, including but not limited to cases involving suspected fraud, payment authorization failure, or discrepancies in billing/shipping information.

5. Order Acceptance

Your submission of an order constitutes an offer to purchase the selected product(s). All orders are subject to acceptance and verification by DisharyTech. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or issues identified during fraud/credit review, even after payment has been processed. If an order is cancelled after payment, we will issue a refund to the original payment method.

6. Shipping and Delivery

Shipping terms, methods, and timeframes are described on our Shipping & Returns page, which is incorporated into these Terms by reference. Title and risk of loss for products pass to you upon our delivery of the product to the shipping carrier, unless otherwise required by law.

7. Returns and Warranties

Any applicable return policy and product warranty terms are described on our Shipping & Returns page and/or individual product listings, which are incorporated into these Terms by reference. Except as expressly stated in a specific product warranty, all products are provided on an "as-is" basis, as further described in Section 9 below.

8. Account Registration

If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account information.

9. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN A SPECIFIC WRITTEN PRODUCT WARRANTY PROVIDED BY DISHARYTECH, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DISHARYTECH, ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless DisharyTech and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

12. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of DisharyTech or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

13. Prohibited Conduct

You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to the Site, other accounts, or our systems; (c) interfere with or disrupt the operation of the Site; (d) use any automated means (bots, scrapers) to access the Site without our permission; or (e) submit false or misleading information in connection with an order or account.

14. Third-Party Links and Services

The Site may contain links to third-party websites or services, including payment processors, which are not owned or controlled by DisharyTech. We are not responsible for the content, policies, or practices of any third-party sites or services.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DisharyTech regarding your use of the Site and supersede any prior agreements.
